Terms of Service for Paperbridge

1. Preamble and Scope
1.1 Provider
These Terms of Service ("TOS") govern the use of services provided by:

(hereinafter "Paperbridge", "we", "us")
1.2 Service Scope
Paperbridge is a cloud-based SaaS platform for automating document processes. The service includes:
- Upload and management of document templates (PDF, DOCX, XLSX, PPTX)
- Automatic detection and filling of form fields
- Data integration via API, Excel, CRM, and ERP systems
- Generation of PDF documents
- Web form creation for data collection
- Storage and archiving of documents
- Digital signature functions (depending on plan)
1.3 Contract Formation
These TOS apply to all users of Paperbridge. The contract is formed upon registration, subscription purchase, or first use of the service.
1.4 Legal Capacity
Use of Paperbridge requires that the user is of legal age and has legal capacity. Minors require consent from a legal guardian.
2. Registration and User Account
2.1 Account Creation
Using Paperbridge requires creating a user account. During registration, truthful and complete information must be provided.
2.2 Account Security
The user is obligated to:
- Keep access credentials confidential
- Immediately notify Paperbridge of unauthorized access
- Use a secure password and change it regularly
- Not share access credentials with third parties
2.3 Multiple Users (Professional and Enterprise)
Professional and Enterprise plans allow multiple users to be created. The account holder is responsible for all activities on their account and must ensure that all users comply with these TOS.
2.4 Account Deletion
Users can delete their account at any time through account settings or by emailing support@paperbridge.app.
3. Subscriptions and Pricing
3.1 Plans
Paperbridge offers the following subscription models:
Starter - €19.00 / month
- 100 documents per month
- 5 templates
- Web forms
- API with burst limits
Professional - €49.00 / month
- 1,000 documents per month
- Unlimited templates
- Priority processing queue
- Audit logs and role-based access
- Stripe-managed billing portal
Enterprise - Custom
- Unlimited documents and templates
- Dedicated rendering cluster
- SAML/SSO + SCIM provisioning
- 24/7 support and rollout partner
3.2 Discounts
Annual payment grants a 20% discount:
- Starter: €182.40 / year (instead of €228)
- Professional: €470.40 / year (instead of €588)
3.3 Free Trial Period
New users receive a 14-day free trial without providing payment information. After expiration, the trial ends automatically unless a paid subscription is purchased.
3.4 Payment Terms
- Payments are processed via Stripe
- Billing occurs in advance (monthly or annually)
- Accepted payment methods: Credit card, SEPA direct debit
- In case of payment default, Paperbridge reserves the right to suspend access until payment is received
3.5 Price Changes
Paperbridge reserves the right to change prices with 30 days' notice. Existing subscriptions will only be affected by the new price upon next renewal.
3.6 Refunds
Fees already paid are generally not refunded, except:
- When terminated by Paperbridge without cause
- In case of non-compliance with SLA guarantees (see separate SLA document)
- Statutory withdrawal rights remain unaffected
4. Usage Rules and Prohibited Activities
4.1 Permitted Use
Paperbridge may only be used for lawful purposes, particularly:
- Business document creation (quotes, invoices, contracts, reports)
- Internal company documentation
- Private document management
4.2 Prohibited Activities
The following uses are prohibited:
a) Illegal Content:
- Creating, storing, or distributing illegal, offensive, defamatory, pornographic, or violence-glorifying content
- Violating copyrights, trademarks, or other third-party rights
- Violations of data protection laws
b) Technical Abuse:
- Hacking, reverse engineering, or unauthorized access
- Introducing viruses, malware, or harmful software
- DDoS attacks or other forms of system overload
- Circumventing security mechanisms or access controls
c) Spam and Mass Usage:
- Sending unsolicited mass emails (spam)
- Automated mass queries (scraping) without permission
- Creating fake accounts or bot activities
d) Commercial Resale:
- Reselling or subletting the service without permission
- Using to create competing products
4.3 Sanctions for Violations
In case of violations of these usage rules, Paperbridge reserves the right to:
- Issue warnings
- Delete or block content
- Temporarily or permanently suspend accounts
- Take legal action
- Claim damages
5. Content and Data Processing
5.1 Ownership Rights
Users retain all rights to their uploaded templates, data, and generated documents. Paperbridge does not acquire ownership rights to user content.
5.2 License for Service Provision
Users grant Paperbridge a non-exclusive, revocable license to process, store, and display their content exclusively for the purpose of providing the service.
5.3 Responsibility for Content
Users are solely responsible for:
- The legality of uploaded content
- Compliance with data protection regulations regarding personal data
- Ensuring that no third-party rights are violated
5.4 Data Protection
The processing of personal data is carried out in accordance with the separate Privacy Policy and GDPR. All data is stored on ISO 27001 certified servers in Germany.
5.5 Data Deletion
After contract termination, user data is handled as follows:
- 30-day download period for users
- Complete deletion from production systems thereafter
- Backup deletion after maximum 90 days
6. Availability and Support
6.1 System Availability
Paperbridge aims for 99.9% availability (see separate SLA document). Maintenance work is performed outside business hours when possible.
6.2 Support Services
Different support levels depending on plan:
- Starter: Email support, 24-hour response time
- Professional: Priority email support, 24-hour response time
- Enterprise: 24/7 support with personal contact person
6.3 No Guarantee
Paperbridge does not guarantee uninterrupted service availability or suitability for specific purposes.
7. Warranty and Liability
7.1 Warranty
Paperbridge warrants that the service substantially conforms to the service description. The software is provided "as is."
7.2 Limitation of Liability
Paperbridge's liability is limited as follows:
a) Unlimited Liability for:
- Intent and gross negligence
- Injury to life, body, or health
- Product liability under Product Liability Law
b) Limited Liability for:
- Slightly negligent breach of material contractual obligations: Limited to typically foreseeable damages
- Maximum amount: Sum of fees paid in the last 12 months
c) Excluded Liability:
- Indirect and consequential damages
- Lost profits
- Data loss (if user failed to back up data)
7.3 Indemnification
Users indemnify Paperbridge against all third-party claims arising from violation of rights through content uploaded by the user.
8. Termination and Contract Term
8.1 Term
The contract term depends on the selected subscription:
- Monthly: 1 month with automatic renewal
- Annual: 12 months with automatic renewal
8.2 Ordinary Termination
Either party may terminate the contract at any time at the end of the billing period. Termination is made:
- Through the Stripe billing portal (Professional)
- By email to support@paperbridge.app
8.3 Extraordinary Termination
The right to extraordinary termination for cause remains unaffected. Cause exists particularly in case of:
- Serious or repeated violations of these TOS
- Payment default exceeding 30 days
- Service abuse
8.4 Effects of Termination
After termination:
- Access to the service expires immediately
- Data can be downloaded for 30 days
- No pro-rata refund
9. Changes to TOS
9.1 Right to Modify
Paperbridge reserves the right to modify these TOS. Changes will be communicated to users at least 30 days before taking effect via email.
9.2 Consent
If the user does not object within 30 days after notification, the changes are deemed approved. In case of objection, Paperbridge may terminate the contractual relationship with ordinary notice.
10. Intellectual Property
10.1 Trademark Rights
"Paperbridge", the Paperbridge logo, and all other trademarks are the property of Felix Ruby. Use requires prior written permission.
10.2 Copyrights
All rights to the software, design, documentation, and all other Paperbridge content remain with Felix Ruby.
11. Miscellaneous
11.1 Applicable Law
The laws of the Federal Republic of Germany shall apply exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
11.2 Place of Jurisdiction
The exclusive place of jurisdiction is Villingen-Schwenningen, provided the user is a merchant, legal entity under public law, or special fund under public law.
11.3 Severability Clause
Should individual provisions of these TOS be invalid, the validity of the remaining provisions shall remain unaffected.
11.4 Assignment Prohibition
Users may not assign their rights and obligations under this contract without prior written consent.
11.5 Force Majeure
Paperbridge is not liable for performance delays or failures due to force majeure (natural disasters, war, terrorism, power outages, cyber attacks, etc.).
11.6 Entire Agreement
These TOS, together with the EULA, SLA, and Privacy Policy, constitute the complete agreement between the parties.

We are neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
